1. Introduction

These Terms and Conditions (hereinafter referred to as "Terms," "Agreement," or "Terms and Conditions") constitute a legally binding agreement between you (hereinafter referred to as "User," "you," "your," or "Customer") and myLaundry Services Ltd, a company duly registered and operating under the laws of the Republic of Ghana (hereinafter referred to as "myLaundry," "we," "us," or "our").

These Terms govern, regulate, and control your access to and use of the myLaundry digital ecosystem, which includes but is not limited to:

  • • The myLaundry website accessible at mylaundrynow.com and all associated subdomains
  • • The myLaundry mobile application available on iOS and Android platforms
  • • All related digital services, features, functionalities, tools, and content
  • • All associated software, APIs, and technological infrastructure
  • • Any future platforms, services, or digital properties operated by myLaundry

Collectively, these shall be referred to as the "Platform," "Service," "Digital Platform," or "myLaundry Platform."

By accessing, browsing, downloading, installing, registering for, or using the Platform in any capacity whatsoever, you explicitly acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions in their entirety, as well as our Privacy Policy, Cookie Policy, and any other legal notices or policies published on the Platform.

IMPORTANT NOTICE: If you do not agree with any provision of these Terms, you must immediately cease all use of the Platform and refrain from accessing any myLaundry services, features, or content. Continued use of the Platform following the posting of changes to these Terms will constitute your acceptance of such changes.

2. Eligibility and Account Creation

2.1 Age Requirements

The Platform is intended for use by individuals who are at least eighteen (18) years of age or the age of legal majority in their jurisdiction, whichever is greater. By creating an account or using the Platform, you represent and warrant that:

2.6 Account Suspension and Termination

myLaundry reserves the absolute right, exercisable at our sole discretion, to suspend, restrict, disable, or permanently terminate your account and access to the Platform at any time, with or without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, provided false information, misused the Platform, or conducted yourself in a manner detrimental to myLaundry, other users, or third parties. We are not obligated to provide reasons for account termination, though we may choose to do so at our discretion.

3. Scope and Application of Terms

3.1 Platform Terms

These Terms and Conditions specifically govern and apply to all interactions with, use of, and access to the myLaundry digital Platform, including but not limited to:

  • • Browsing and viewing content on the website or mobile application
  • • Creating, managing, and maintaining user accounts and profiles
  • • Placing, modifying, or canceling service orders
  • • Making payments and managing billing information
  • • Accessing promotional materials, offers, discounts, and marketing content
  • • Communicating with customer support and service representatives
  • • Participating in loyalty programs, referral schemes, or rewards programs
  • • Submitting reviews, ratings, feedback, or user-generated content
  • • Using any tools, calculators, or interactive features provided on the Platform
3.2 Laundry Service Terms

All aspects related to the actual provision of laundry and dry-cleaning services—including but not limited to pickup operations, garment handling procedures, cleaning processes, quality standards, pricing structures, delivery logistics, loss and damage policies, and service guarantees—are governed by our separate and distinct Laundry Service Terms document, which forms an integral part of the contractual relationship between you and myLaundry.

By placing an order for laundry services through the Platform, you acknowledge and agree that you have read, understood, and accepted the Laundry Service Terms in addition to these Platform Terms and Conditions.

3.3 Relationship and Hierarchy of Terms

In the event of any conflict, inconsistency, or ambiguity between these Platform Terms and Conditions and the Laundry Service Terms:

  • • For matters specifically related to laundry operations, cleaning services, garment care, delivery procedures, and service quality, the Laundry Service Terms shall take precedence
  • • For matters related to Platform access, digital services, account management, intellectual property, and online interactions, these Platform Terms shall govern
  • • Where both documents address the same issue without conflict, both shall apply harmoniously and be read in conjunction
3.4 Additional Policies and Documents

Your use of the Platform is also subject to the following additional policies and legal documents, which are incorporated into these Terms by reference:

  • Privacy Policy: Governing collection, use, storage, and protection of personal data
  • Cookie Policy: Explaining our use of cookies and similar tracking technologies

  • • Interfere with, disrupt, or compromise the security, integrity, operation, or functionality of the Platform or its infrastructure
  • • Perform security testing, penetration testing, vulnerability scanning, or any form of attack without explicit written authorization
  • • Bypass, circumvent, disable, or interfere with security features, access controls, authentication measures, or usage restrictions
  • • Use any automated systems, bots, scrapers, spiders, crawlers, or data mining tools to access, extract, or collect information from the Platform
  • • Overload, flood, spam, or conduct denial-of-service attacks against the Platform or its infrastructure
  • • Probe, scan, or test the vulnerability of any system, network, or security measure without authorization
4.2 Prohibited Content and Communications

You agree NOT to post, upload, transmit, distribute, store, create, or publish through the Platform any content that:

  • • Is unlawful, illegal, fraudulent, deceptive, misleading, or violates any local, national, or international law or regulation
  • • Infringes upon intellectual property rights, patents, trademarks, trade secrets, copyrights, or other proprietary rights of any party
  • • Contains defamatory, libelous, slanderous, threatening, harassing, abusive, or hateful material
  • • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
  • • Depicts, promotes, or facilitates violence, self-harm, or harm to others
  • • Contains sexually explicit, pornographic, obscene, or indecent material
  • • Exploits, endangers, or harms minors in any way
  • • Promotes illegal drugs, substances, activities, or behavior
  • • Violates privacy rights, discloses personal information without consent, or engages in doxxing
  • • Contains spam, unsolicited advertising, promotional material, or commercial communications
4.3 Prohibited User Behaviors

You agree NOT to engage in the following behaviors or activities:

  • • Impersonate any person, entity, or organization, including myLaundry employees, representatives, or affiliates
  • • Misrepresent your identity, affiliation, or the source of any content or communications
  • • Falsely state or otherwise misrepresent your relationship with myLaundry or any third party
  • • Engage in fraudulent activities, scams, phishing, or deceptive practices
  • • Manipulate, abuse, or exploit promotional offers, discounts, referral programs, or loyalty schemes
  • • Submit false, fraudulent, or illegitimate orders, reviews, ratings, or feedback
  • • Harass, stalk, threaten, intimidate, or abuse other users, employees, or service providers
  • • Collect, harvest, or store personal information about other users without explicit consent
  • • Use the Platform for any commercial purpose without written authorization from myLaundry
  • • Resell, sublicense, rent, lease, or redistribute access to the Platform or services
  • • Engage in any activity that interferes with or disrupts other users' access to or enjoyment of the Platform
4.4 Consequences of Violations

Violation of this Acceptable Use Policy may result in one or more of the following actions, at myLaundry's sole discretion:

  • • Immediate suspension or permanent termination of your account
  • • Removal of prohibited content or communications
  • • Restriction or limitation of Platform access and functionality
  • • Forfeiture of prepaid balances, credits, or promotional benefits
  • • Legal action, including pursuit of damages and injunctive relief
  • • Reporting to law enforcement authorities and cooperation with investigations
  • • Permanent ban from all myLaundry services and platforms
  • • Public disclosure of violations where permitted or required by law
4.5 Reporting Violations

If you become aware of any violations of this Acceptable Use Policy, security vulnerabilities, or inappropriate conduct by other users, please report it immediately to our security team at [email protected]. We appreciate your cooperation in maintaining a safe, secure, and respectful Platform environment for all users.

5. Intellectual Property Rights and Ownership

5.1 Proprietary Rights

The Platform and all of its content, features, and functionality—including but not limited to all text, graphics, designs, user interfaces, visual interfaces, photographs, images, videos, audio, trademarks, logos, service marks, trade names, software code, algorithms, computer programs, data compilations, and the design, selection, and arrangement thereof—are owned, controlled, or licensed by myLaundry Services Ltd or our licensors and are protected by:

  • • Trade secret laws and confidentiality obligations

  • • Database rights and sui generis protections

5.2 Trademarks and Brand Identity

The myLaundry name, logo, and all related names, logos, product and service names, designs, taglines, and slogans are trademarks, service marks, or trade dress of myLaundry Services Ltd or our affiliates and licensors. You may not use, copy, reproduce, or imitate these marks in any manner without our prior written consent. All other trademarks, service marks, and trade names referenced on the Platform are the property of their respective owners.

5.3 Restrictions on Use

Unless explicitly authorized in writing by myLaundry, you may NOT:

  • • Reproduce, copy, duplicate, download (except for temporary caching), or distribute any portion of the Platform
  • • Modify, adapt, translate, or create derivative works based on Platform content
  • • Publicly display, publicly perform, transmit, broadcast, or otherwise exploit Platform content
  • • Frame, mirror, or embed the Platform or its content on any other website or platform
  • • Remove, obscure, or alter any copyright notices, trademark notices, or other proprietary rights notices
  • • Use Platform content for any commercial purpose without explicit written authorization
  • • Sell, license, sublicense, rent, lease, or otherwise transfer rights to Platform content
  • • Use automated means to scrape, extract, or collect Platform content
5.4 Limited License for Personal Use

Subject to your compliance with these Terms, myLaundry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • • Access and use the Platform for your personal, non-commercial purposes
  • • Download and install the mobile application on devices you own or control
  • • View and temporarily cache Platform content in your browser for personal viewing
  • • Print individual pages for your personal, non-commercial reference

This license does not include any right to: (a) resell or make commercial use of the Platform or its content; (b) collect or use product listings, descriptions, or prices; (c) make derivative use of the Platform or its content; or (d) use data mining, robots, or similar data gathering and extraction tools.

5.5 Reservation of Rights

myLaundry reserves all rights not expressly granted to you in these Terms. No implied licenses or rights are granted to you under these Terms. Any unauthorized use of the Platform or its content may violate copyright, trademark, patent, trade secret, and other laws, and may result in civil and criminal penalties.

5.6 DMCA and Copyright Infringement

myLaundry respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the Platform infringes your copyright, please notify our designated Copyright Agent with the following information:

  • • A physical or electronic signature of the copyright owner or authorized representative
  • • Identification of the copyrighted work claimed to have been infringed
  • • Identification of the material claimed to be infringing and its location on the Platform
  • • Your contact information (address, telephone number, email address)
  • • A statement that you have a good-faith belief that the use is unauthorized

  • • Any disputes with third parties must be resolved directly between you and the third party
7.4 Payment Processors

Payment processing services are provided by third-party payment processors and financial institutions. When you make a payment through the Platform, you may be redirected to a third-party payment gateway. Your payment information is collected, processed, and stored by the payment processor in accordance with their terms, policies, and security measures. myLaundry does not directly collect, store, or have access to full credit card numbers or sensitive payment credentials.

These integrations may allow you to share content, connect accounts, or interact with social features. 8. User-Generated Content and Submissions

8.1 Types of User Content

The Platform may allow you to create, upload, post, submit, transmit, publish, display, or otherwise make available various forms of content, material, information, and data, including but not limited to:

  • • Comments, testimonials, and recommendations

By uploading, posting, submitting, or otherwise providing any User Content through or to the Platform, you hereby grant to myLaundry and its affiliates, successors, and assigns a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to:

  • • Use, reproduce, copy, duplicate, and store your User Content
  • • Modify, adapt, edit, translate, reformat, and create derivative works
  • • Publicly display, publicly perform, publish, and distribute your User Content
  • • Incorporate your User Content into other works, media, or formats
  • • Use your User Content for promotional, marketing, advertising, and commercial purposes

This license continues even if you stop using the Platform or delete your account, as your User Content may have been shared, distributed, or incorporated into materials that cannot feasibly be recalled or deleted.

8.3 Your Representations and Warranties

By submitting User Content, you represent, warrant, and guarantee that:

  • • You own all rights to the User Content or have obtained all necessary licenses, permissions, consents, and authorizations
  • • Your User Content does not infringe, violate, or misappropriate any intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party
  • • Your User Content does not contain defamatory, libelous, obscene, pornographic, abusive, threatening, harassing, hateful, or otherwise objectionable material
  • • Your User Content does not violate any applicable laws, regulations, or these Terms
  • • Your User Content does not contain viruses, malware, or harmful code
  • • Your User Content is accurate, truthful, and not misleading or deceptive
8.4 Content Moderation and Removal

myLaundry reserves the right, but not the obligation, to:

  • • Monitor, review, screen, or moderate User Content at any time
  • • Remove, delete, edit, or modify User Content that violates these Terms or is otherwise objectionable
  • • Refuse to publish or display User Content for any reason
  • • Investigate violations and take appropriate action
  • • Cooperate with law enforcement and provide User Content in response to legal requests
8.5 No Obligation and Disclaimer

myLaundry is under no obligation to monitor, review, edit, or control User Content and assumes no responsibility for User Content posted by users. User Content represents the views and opinions of the individual users and does not reflect the views, opinions, or positions of myLaundry. We do not endorse, support, verify, or guarantee the accuracy, completeness, or reliability of User Content.

8.6 Your Responsibility and Liability

You are solely responsible for your User Content and any consequences arising from its submission, publication, or distribution. You agree to indemnify, defend, and hold harmless myLaundry from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to your User Content or your violation of these User Content provisions.

9. Platform Availability and Modifications

9.1 Best Efforts and No Guarantees

myLaundry strives to provide reliable, consistent, and high-quality Platform services and makes reasonable efforts to ensure the Platform remains accessible, functional, and operational. However, we do NOT guarantee or warrant:

  • Uninterrupted access: The Platform may experience downtime, interruptions, or unavailability
  • Error-free operation: The Platform may contain bugs, errors, glitches, or technical issues
  • Continuous availability: The Platform may be temporarily or permanently unavailable
  • Complete functionality: Features may be limited, degraded, or non-functional
  • Performance standards: Speed, responsiveness, or performance may vary
9.2 Scheduled and Unscheduled Maintenance

The Platform may be temporarily unavailable or experience reduced functionality due to:

  • • Scheduled maintenance, updates, upgrades, or improvements
  • • Emergency maintenance or security patches
  • • Technical issues, server failures, or infrastructure problems
  • • Third-party service disruptions or dependencies
  • • Network connectivity issues or internet service provider problems
  • • Force majeure events, natural disasters, or circumstances beyond our control

We will attempt to provide advance notice of scheduled maintenance when reasonably possible, but we are not obligated to do so and may perform maintenance without prior notice.

9.3 Right to Modify, Suspend, or Discontinue

myLaundry reserves the absolute and unrestricted right, exercisable at any time and at our sole discretion, without prior notice or liability, to:

  • • Modify, change, update, or enhance any aspect of the Platform, including features, functionality, design, content, or user interface
  • • Add or remove features, services, or capabilities
  • • Change pricing, fees, subscription plans, or payment terms
  • • Temporarily or permanently suspend, limit, or restrict access to the Platform or specific features
  • • Discontinue, terminate, or shut down the Platform or any part thereof
  • • Merge, consolidate, or reorganize the Platform with other services
  • • Implement new terms, policies, or requirements
9.4 No Liability for Unavailability

myLaundry shall not be liable for any loss, damage, inconvenience, or consequence resulting from Platform unavailability, downtime, interruptions, modifications, suspensions, or discontinuations. You acknowledge and agree that you use the Platform at your own risk and that my Laundry has no obligation to maintain, support, or continue operating the Platform in any particular manner or for any particular duration.

10. Updates and Amendments to These Terms

10.1 Right to Modify Terms

myLaundry reserves the right to revise, modify, amend, update, supplement, or replace these Terms and Conditions at any time, for any reason, and at our sole discretion. We may make changes to these Terms to:

  • • Reflect changes in our services, features, or business practices
  • • Comply with new or modified laws, regulations, or legal requirements

It is your responsibility to periodically review these Terms to stay informed of any changes. We recommend checking this page regularly, especially before placing orders, making payments, or engaging in significant Platform activities. Your failure to review the Terms does not excuse your obligation to comply with them.

IMPORTANT LEGAL NOTICE: The Platform, including all content, services, features, functionality, information, software, products, and materials provided through or in connection with the Platform, is provided on an "AS IS" and "AS AVAILABLE" basis without warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise.

11.2 Disclaimers

To the maximum extent permitted by applicable law, myLaundry Services Ltd, its affiliates, subsidiaries, parent companies, officers, directors, employees, agents, partners, licensors, and service providers (collectively, the "myLaundry Parties") expressly disclaim all warranties and representations, including but not limited to:

  • Warranties of merchantability: No guarantee that the Platform is suitable for commercial purposes or meets your specific requirements
  • Warranties of fitness for a particular purpose: No guarantee that the Platform will meet your individual needs or expectations
  • Warranties of non-infringement: No guarantee that Platform use won't infringe third-party rights (though we take reasonable precautions)
  • Warranties of title: No guarantee regarding ownership rights to Platform content
  • Warranties of accuracy: No guarantee that information, content, or data is accurate, complete, current, reliable, or error-free
  • Warranties of availability: No guarantee of uninterrupted, timely, secure, or error-free access
  • Warranties of security: No guarantee that the Platform is free from viruses, malware, bugs, errors, or other harmful components
  • Warranties of quality: No guarantee regarding the quality, suitability, or performance of Platform services

The myLaundry Parties make no representations, warranties, or guarantees regarding:

  • • The accuracy, completeness, reliability, currentness, or timeliness of any information, content, data, materials, or pricing displayed on or provided through the Platform
  • • The results that may be obtained from use of the Platform or the reliability, quality, or accuracy of any services ordered or obtained
  • • The compatibility of the Platform with your devices, software, systems, or internet connections
  • • That defects, errors, bugs, or issues will be corrected or addressed
  • • User Content accuracy, reliability, legality, or quality
11.4 Your Assumption of Risk

You expressly acknowledge and agree that:

  • • Your use of the Platform is entirely at your own risk
  • • You are solely responsible for any damage to your devices, systems, or data
  • • You should exercise your own judgment, caution, and common sense when using the Platform
  • • You should independently verify any information obtained through the Platform
  • • myLaundry is not responsible for any decisions, actions, or consequences resulting from your reliance on Platform content or information
11.5 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. If you reside in such a jurisdiction, some of the above exclusions and limitations may not apply to you. In such cases, the my Laundry Parties' liability will be limited to the maximum extent permitted by applicable law in your jurisdiction.

12. Limitation of Liability

12.1 Exclusion of Liability

IMPORTANT LEGAL NOTICE: To the fullest extent permitted by applicable law, in no event shall the myLaundry Parties be liable to you or any third party for any damages, losses, liabilities, costs, or expenses of any kind, whether direct or indirect, arising from or related to:

  • • Your access to, use of, or inability to access or use the Platform
  • • Any conduct, content, or information of other users or third parties on the Platform
  • • Any content obtained from the Platform
  • • Unauthorized access, use, or alteration of your transmissions or content
  • • Any other matter relating to the Platform
12.2 Types of Damages Excluded

Without limiting the generality of the foregoing, the myLaundry Parties shall not be liable for:

  • Indirect damages: Any indirect, incidental, special, exemplary, or punitive damages
  • Consequential damages: Loss of profits, revenues, business opportunities, goodwill, or reputation
  • Data-related damages: Loss, corruption, theft, unauthorized access, or destruction of data or information
  • Opportunity costs: Lost time, wasted expenditures, or lost business opportunities
  • Personal injury: Physical, emotional, or psychological harm (subject to applicable law)
  • Property damage: Damage to personal property, devices, systems, or equipment
  • Service interruptions: Damages resulting from unavailability, delays, interruptions, or errors
  • Third-party actions: Actions, conduct, or content of third parties
  • Any other damages: Whether foreseeable or unforeseeable, and regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
12.3 Aggregate Liability Cap

In the event that the myLaundry Parties are found liable to you for any damages, losses, or liabilities despite the limitations and exclusions set forth above, the total aggregate liability of the myLaundry Parties to you for all claims arising from or related to your use of the Platform shall not exceed the greater of:

  • • The total amount actually paid by you to myLaundry (if any) during the six (6) month period immediately preceding the event giving rise to liability; OR
  • • One Hundred Ghanaian Cedis (GHS 100.00)
12.4 Basis of the Bargain

You acknowledge and agree that these limitations of liability are an essential element of the agreement between you and myLaundry, and that myLaundry would not provide the Platform to you without these limitations. These limitations shall apply regardless of whether myLaundry has been advised of or should have been aware of the possibility of such damages.

12.5 Multiple Claims

The limitations on liability set forth in this section shall apply to all claims, whether based in warranty, contract, tort, negligence, strict liability, or any other legal theory, and whether or not the Platform or services have performed as designed or intended.

12.6 Jurisdiction-Specific Provisions

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages or certain types of liability, so the above limitations or exclusions may not apply to you in whole or in part. In such jurisdictions, the myLaundry Parties' liability will be limited to the greatest extent permitted by applicable law.

13. Termination of Access and Accounts

13.1 myLaundry's Right to Terminate

myLaundry reserves the absolute, unrestricted, and unconditional right to suspend, restrict, disable, deactivate, or permanently terminate your account, access to the Platform, or use of any services at any time, for any reason or no reason, with or without prior notice, and with or without cause, at our sole and absolute discretion. Grounds for termination may include, but are not limited to:

  • • Violation of these Terms or any other policies, rules, or guidelines
  • • Violation of applicable local, national, or international laws or regulations
  • • Fraudulent, deceptive, misleading, or illegal activity
  • • Providing false, inaccurate, incomplete, or misleading information
  • • Unauthorized access, security breaches, or hacking attempts
  • • Abuse, misuse, or exploitation of Platform features, promotions, or services
  • • Harassment, threats, abuse, or inappropriate behavior toward other users, employees, or partners
  • • Multiple accounts, account sharing, or impersonation
  • • Failure to pay amounts owed or disputes regarding payments
  • • Conduct that poses risks to other users, the Platform, or myLaundry's business interests
  • • Inactivity or extended periods of non-use
  • • Any other reason deemed appropriate by myLaundry in its sole discretion
13.2 Your Right to Terminate

You may terminate your account and discontinue use of the Platform at any time by:

  • • Accessing your account settings and following the account closure procedures
  • • Contacting customer support and requesting account deletion
  • • Sending a written request to [email protected]
  • • Simply ceasing to access or use the Platform
13.3 Effects of Termination

Upon termination of your account or access, whether by you or by myLaundry:

  • • Your right to access and use the Platform immediately ceases
  • • You will no longer be able to access your account, data, or content
  • • myLaundry may (but is not obligated to) delete your account, data, and User Content
  • • Outstanding obligations, debts, or liabilities remain enforceable
  • • Accrued rights, remedies, and obligations survive termination
  • • You remain liable for all activities conducted through your account prior to termination
  • • myLaundry retains the rights granted under Section 8 (User Content) to previously submitted content
13.4 No Refunds or Compensation

Unless required by applicable law, myLaundry is not obligated to provide refunds, compensation, or reimbursement for:

  • • Unused credits, prepaid balances, or subscription fees
  • • Lost or inaccessible data, content, or information
  • • Loyalty points, rewards, or promotional benefits
  • • Any other losses or damages resulting from account termination
13.5 Survival Provisions

The following sections shall survive any termination or expiration of these Terms: Intellectual Property Rights (Section 5), User Content (Section 8), Disclaimer of Warranties (Section 11), Limitation of Liability (Section 12), Indemnification (Section 14), Governing Law and Dispute Resolution (Section 15), and any other provisions that by their nature should reasonably survive termination.

14. Indemnification and Hold Harmless

14.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless the myLaundry Parties from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including but not limited to reasonable attorney fees, legal costs, expert witness fees, court costs, and settlement amounts) arising out of or related to:

  • • Your access to, use of, or inability to access or use the Platform
  • • Your violation, breach, or alleged violation of these Terms or any applicable laws or regulations
  • • Your User Content, including any claims that your User Content infringes, violates, or misappropriates third-party rights
  • • Your infringement or violation of any intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party
  • • Your negligence, willful misconduct, fraud, or illegal activities
  • • Your interactions, transactions, disputes, or relationships with other users or third parties
  • • Any false, inaccurate, incomplete, or misleading information you provide
  • • Your failure to maintain the security and confidentiality of your account credentials
  • • Unauthorized use of your account by third parties due to your actions or negligence
  • • Any other actions, omissions, or conduct related to your use of the Platform
14.2 Defense and Settlement

myLaundry reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases:

  • • You agree to cooperate fully with myLaundry in the defense of such claims
  • • You will not settle any claim without myLaundry's prior written consent
  • • Your indemnification obligations continue even if myLaundry assumes defense
  • • You remain responsible for all costs, damages, and expenses
14.3 Notification

myLaundry will provide you with prompt written notice of any claim, demand, or action subject to indemnification, provided that failure to provide such notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure.

15. Governing Law, Jurisdiction, and Dispute Resolution

15.1 Governing Law

These Terms and Conditions, and any disputes, claims, controversies, or matters arising out of or related to these Terms, your use of the Platform, or your relationship with myLaundry, shall be governed by, construed in accordance with, and interpreted under the laws of the Republic of Ghana, without regard to its conflict of law principles that would result in the application of the laws of any other jurisdiction.

15.2 Jurisdiction and Venue

You irrevocably and unconditionally:

  • • Agree that any legal action, suit, proceeding, dispute, claim, or controversy arising out of or related to these Terms or the Platform shall be brought exclusively in the courts located in Accra, Ghana
  • • Consent and submit to the exclusive jurisdiction of such courts for the purpose of any such action, suit, or proceeding
  • • Waive any objection to venue in such courts and any claim that such courts are an inconvenient forum
  • • Agree that service of process may be effected by any method permitted by Ghanaian law
  • • Waive any right to trial by jury to the extent permitted by applicable law
15.3 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact myLaundry and attempt to resolve the dispute informally by sending a detailed written description of the dispute to [email protected]. We will attempt to resolve the dispute informally through good-faith negotiations within thirty (30) days of receiving your notice.

15.4 Time Limitation on Claims

You agree that any claim, dispute, or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the cause of action arose. If not filed within this time period, such claim, dispute, or cause of action is permanently barred, regardless of any statute or law to the contrary.

15.5 Injunctive Relief

Notwithstanding any other provision of these Terms, myLaundry shall be entitled to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of myLaundry's intellectual property rights, confidential information, or other proprietary rights.

16. Miscellaneous Provisions

16.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy, Cookie Policy, and any other legal notices or policies published on the Platform, constitute the entire agreement and understanding between you and myLaundry Services Ltd regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, proposals, representations, understandings, negotiations, or discussions, whether written or oral, between you and myLaundry.

16.2 Severability

If any provision, clause, or portion of these Terms is held to be invalid, illegal, unenforceable, or contrary to applicable law by a court or tribunal of competent jurisdiction, such provision shall be modified or limited only to the extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.

16.3 Waiver

No waiver by myLaundry of any term, condition, or provision of these Terms shall be deemed or shall constitute a waiver of any other term, condition, or provision, nor shall any waiver constitute a continuing waiver unless otherwise expressly provided in writing. myLaundry's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision or any other rights or provisions.

16.4 Assignment and Transfer

You may not assign, transfer, delegate, sublicense, or otherwise dispose of these Terms or any rights or obligations under these Terms, in whole or in part, without myLaundry's prior written consent. Any attempted assignment, transfer, or delegation without such consent shall be null and void. myLaundry may freely assign, transfer, or delegate these Terms and any rights and obligations hereunder, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

16.5 No Third-Party Beneficiaries

These Terms are for the sole and exclusive benefit of you and myLaundry and are not intended to confer any right or benefit upon any third party. No third party shall have any right to enforce any provision of these Terms.

16.6 Force Majeure

myLaundry shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, labor disputes, shortages of supplies or materials, telecommunications failures, power outages, internet disruptions, or government actions.

16.7 Headings and Interpretation

The section headings, titles, and captions used in these Terms are for convenience and reference purposes only and shall not affect the interpretation, construction, or meaning of any provision. The use of "including," "such as," or similar terms shall be deemed to mean "including without limitation."

16.8 Language

These Terms are drafted and executed in the English language. Any translation provided is for convenience only. In the event of any conflict, inconsistency, or ambiguity between the English version and any translated version, the English version shall prevail and govern.

16.9 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and myLaundry. You have no authority to bind myLaundry or make commitments on myLaundry's behalf.
